QXO, a new player in building products distribution, on Wednesday made public its $11 billion offer to buy Beacon Roofing Supply and threatened a proxy fight after the roofing material supplier rebuffed its overtures.

Following its review, the Board unanimously rejected the proposal and determined that it significantly undervalues the company and its prospects for growth and future value creation.
